We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our website. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

Visory provides managed financial back-office services and decision-ready insight for growing service businesses. Our Services include, but are not limited to:
- Bookkeeping: Transaction categorization, bank reconciliations, month-end close, and ongoing financial record maintenance using industry-standard accounting platforms.
- Visory Insights: Monthly financial performance reports, margin analysis, cash flow forecasting, and strategic advisory sessions with our team.
- Payroll: Payroll processing, tax filings, compliance management, and employee payment administration.
- Accounts Payable & Accounts Receivable: Vendor invoice management, bill payment processing, client invoicing, collections support, and cash flow optimization.
The specific services available to you depend on the plan you select. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Account Registration and Responsibilities
To access certain features of the Services, you must create an account. When you register, you agree to:
- Provide accurate, current, and complete information during the registration process
- Maintain and promptly update your account information to keep it accurate, current, and complete
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access to or use of your account
- Accept responsibility for all activities that occur under your account

4. Service Fees and Payment
Fees for our Services are set out on our Pricing page or as otherwise agreed in writing. By subscribing to a paid plan, you agree to pay all applicable fees in accordance with the billing terms in effect at the time.
- All fees are quoted in U.S. dollars unless otherwise stated
- Payment is due on the date specified in your invoice or subscription agreement
- We may change our fees upon 30 days' written notice; continued use of the Services after a fee change constitutes acceptance
- Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
- You are responsible for all taxes associated with your use of the Services, excluding taxes based on our net income
5. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, software, dashboards, reports, and data visualizations, are owned by Visory or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any data, documents, or materials you provide to us in connection with the Services ("Client Data"). By providing Client Data, you grant us a limited, non-exclusive license to use, process, and store such data solely for the purpose of delivering the Services to you.
You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse-engineer or attempt to extract the source code of our software, unless applicable laws prohibit these restrictions or you have our written permission.
6. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). This obligation does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was already known to the receiving party prior to disclosure
- Is independently developed by the receiving party without use of the disclosing party's Confidential Information
- Is received from a third party without restriction on disclosure

7. Limitation of Liability
To the maximum extent permitted by applicable law, Visory and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.
Our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to Visory during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be lawfully excluded or limited under applicable law.
8. Termination
You may terminate your account at any time by providing written notice to us. Upon termination, your right to access and use the Services will cease immediately.
We may suspend or terminate your access to the Services at any time, with or without cause, upon reasonable notice. We will provide at least 30 days' notice for termination without cause. We may terminate immediately if you breach any material provision of these Terms.
Upon termination, we will make your Client Data available for export for a period of 30 days. After this period, we may delete your Client Data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination will remain in effect.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
10. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, provide notice via email or a prominent notice on our website. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.
